Connect API Terms of Service

1. Acceptance of Terms

By accessing or using the Markate Connect API (“API”), you agree to these API Terms, Markate's Terms of Service, and Privacy Policy.

You represent that you are using the API for business purposes and have authority to bind your organization.

2. API Access & Approval

API access must be requested via api@markate.com and is subject to approval.

Markate may approve, deny, or revoke access at its sole discretion.

Markate is under no obligation to provide or maintain API access.

3. License Grant

Markate grants a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the API solely for internal business operations.

4. Usage Restrictions

You may not resell, sublicense, lease, or distribute API access.

You may not build commercial software or SaaS using the API.

You may not create competing products or services.

You may not provide API access to third parties or operate multi-tenant systems.

5. Rate Limits & Abuse

Example guideline: ~120 requests per minute (subject to change).

Markate may throttle, suspend, or terminate access for excessive or abusive usage without notice.

6. Data Ownership & Usage

You retain ownership of your customer data.

Markate owns aggregated, anonymized, and system-level data.

You may not use API data for scraping, dataset creation, or AI model training.

7. Platform Protection (SOP)

API usage must not bypass, fragment, or undermine the Markate Service Operations Platform.

8. Fees & Pricing

API access may be offered as a paid add-on.

Markate reserves the right to modify pricing at any time.

Continued use constitutes acceptance of updated pricing.

9. Availability & Changes

API is provided 'as-is' and 'as available'.

Markate may modify, deprecate, or discontinue API features at any time.

10. Support

Support is limited to documentation and basic guidance.

Markate is not obligated to provide development or integration support.

11. Third-Party Integrations

You are responsible for third-party integrations.

Markate is not liable for third-party failures.

12. Suspension & Termination

Markate may suspend or terminate API access at any time for violations, abuse, or security risks.

Termination may occur without prior notice.

13. Intellectual Property

Markate retains all rights to the API and platform.

No ownership rights are transferred.

14. Disclaimer of Warranties

The API is provided 'AS IS' without warranties of any kind.

15. Limitation of Liability

Markate is not liable for indirect, incidental, or consequential damages.

Total liability is limited to fees paid in the last 12 months.

16. Indemnification

You agree to defend, indemnify, and hold harmless Markate from claims arising from API use or violations.

17. Independent Relationship

Nothing in these Terms creates a partnership, joint venture, or agency relationship.

18. Arbitration & Class Action Waiver

Disputes shall be resolved through binding arbitration.

You waive any right to participate in class actions.

19. Assignment

Markate may assign these Terms without restriction.

You may not assign these Terms without prior written consent.

20. Force Majeure

Markate is not liable for delays or failures due to events beyond its control.

21. Governing Law & Contact

Governing law and contact information are specified in the main Markate Terms of Service.

These Terms are governed by Arizona law.
